UNICORN ENTERPRISES SA
DEVELOPER LICENSE AGREEMENT
FOR UNICORN XML TOOLKIT VERSION 1.50.00, STANDARD EDITION

1. This Developer License Agreement ("Agreement") accompanies 
the Unicorn XML Toolkit version 1.50.00, Standard Edition product 
and related explanatory materials ("Software"). This Agreement is 
a legal agreement between you (either an individual or a single 
entity) and Unicorn Enterprises SA ("Unicorn Enterprises").

2. By installing, copying or otherwise using the Software, you agree
to be bound to the terms of this Agreement.

3. The Software is owned by Unicorn Enterprises SA and is protected 
by copyright laws and international copyright treaties.

4. Upon your acceptance of this Agreement, Unicorn Enterprises grants you
a nonexclusive right to make and use copies of the Software for the sole
purpose of designing, developing and testing your software applications.

5. This Agreement does not grant you a right for any commercial or
production use of the software applications developed using the Software.
Any commercial or production use of the software applications
containing parts of the Software require a separate Production
License, which may be obtained from Unicorn Enterprises.

6. You understand and agree that the the Software is the confidential
property of Unicorn Enterprises, and contains certain Proprietary 
Information which belogs only to Unicorn Enterprises. The Proprietary 
Information includes the Software source and object code, inventions and 
algorithms embodied in the Software source code, documentation and samples 
included in the Software. You agree not to disclose to any third party
the Proprietary Information contained in the Software.

7. You agree not to publish, redistribute, sublicense or sell copies of 
the Software, or any portions of the Software for any purpose, except as
specifically granted herein.

8. You agree not to disclose to the third parties results of benchmark or 
other performance test runs of the Software.

9. The Software is licensed, not sold to you. This Agreement does not 
grant you any intellectual property rights in the Software.

10. This Agreement does not entitle you to any maintenance or other 
services or any updates or new versions of the Software.

11. This Agreement will automatically terminate upon a material breach 
of its terms and conditions. All of your obligations and responsibilities
under this agreement shall survive its termination for any reason.

12. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
UNICORN ENTERPRISES DISCLAIMS ALL WARRANTIES AND CONDITIONS, EITHER 
EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED 
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, 
OR NON-INFRINGEMENT.

13. IN NO EVENT WILL UNICORN ENTERPRISES BE LIABLE TO ANY PARTY FOR 
ANY DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES FOR ANY USE 
OF THE SOFTWARE INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, 
BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA ON YOUR COMPUTER 
SYSTEM OR OTHERWISE, EVEN IF UNICORN ENTERPRISES HAS BEEN EXPRESSLY 
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. This Agreement shall be governed and interpreted by the law of 
Canton of Schwyz, Switzerland.
